I’m leading a management team that is buying the company we already run. The seller is on board and we have a clear valuation; what we still need is a clever capital structure that lets us close fast without locking up our personal cash. The source of cash for Buy-side comes from Mgmt Agreement between Buyer & Seller.

The ideal stack leans on seller financing, a margin-loan account and other short-term borrowing; upfront cash can be minimal or even zero if the numbers support it. Your job is to weave these pieces together so we can sign and fund within the next four weeks.

Here’s what I need from you:
• A robust Excel model covering sources & uses, repayment schedules and downside cases
• A concise financing memo or teaser suitable for lenders/alternative credit funds
• Draft term-sheet language for the seller note and any bridge or margin loans
• Covenant and security recommendations that keep management in control while satisfying creditors
• Insight on any US/Canada tax or regulatory wrinkles that could affect the structure

Proven experience with MBO, LBO or similarly creative private-market financings is essential; please share a brief deal example that shows how you closed quickly with limited equity outlay. Speed and precision are the priorities—first model within a week, lender-ready deck shortly after.
